Article 1. This homeowners association is created for the benefit of homeowners and lawful owners of real estate within the subdivision known as Echo Pointe. The goal of the association is to insure the high quality of life, to maintain property value, and to create a unity among neighbors of Echo Pointe subdivision.

Article 2. Definitions:

2.1 Homeowner(s)—Legal owner(s) of property who are also resident(s) of Echo Pointe subdivision. A Homeowner shall be defined as a person who lawfully possesses sole or joint title in one or more lots in Echo Pointe Sections I, II, and III.

2.2 Association Member(s)—The members of the association shall be Homeowner(s) per Article 2.1 and have voluntarily joined the Homeowners Association. A member shall be in good standing so long as he or she remains in compliance with the covenant obligations of a “Homeowner” as determined by the Association. A member of the Homeowners Association agrees to actively participate in the operation of the Homeowners Association by casting a vote either in person or by written proxy on any issue raised for vote before the membership of the Homeowners Association.

2.3 Developer—R. N. Thompson and Associates.

Article 3. This association, once established, shall be governed by Robert’s Rules of order. No by-law shall be established which is or may be in conflict with the Rules of Order. The Association Members present at Homeowners Association meetings may, by unanimous consent, waive the requirements of this Article 3 at any subsequent meeting.

Article 4. At least annually and at such other times as may be necessary or appropriate, a meeting of the Association Members shall be held for the purpose of approving the annual budget, providing for collection of annual assessments, and for such other purposes as may be required by the by-laws or covenants. The Association shall conduct its meetings at a location to be named by the Leadership Committee.

Article 5. Only one vote shall be provided per member household. A member may vote either in person or by proxy in writing. A proxy vote shall be carried by a member of the Association. The Association shall be governed by a rotating Leadership Committee. Officers of Secretary and Treasurer will be established for one-year terms and may be either elected or volunteer.

Article 6. Duties of the Governing Body

Section 6.1 A member of the Leadership Committee shall preside over all regular meetings and any other business requiring his/her attendance.

Section 6.2 The Secretary shall record and maintain a written record of all regular meetings. The written record of the prior meeting shall be made available for comment and approval by the members at the present meeting. The secretary shall also be responsible for maintaining the Directory of Echo Pointe Subdivision. The Directory shall include all Homeowners including Association Members and shall be updated at least annually.

Section 6.3 The Treasurer shall act as fiduciary agent of the Association and shall collect, deposit, disburse, and account for all monies belonging to the Association. No disbursement may be made by this officer without authorization of the Leadership Committee. The Treasurer shall provide a monthly statement of account at all association meetings.

Article 7. New issues other than administrative to be discussed for a vote may not be voted upon at the same meeting. New issues must be approved by seventy-five percent (75%) of members of the Homeowners Association in person or by written proxy.

Article 8. Standing committees shall be established upon the acceptance of these by-laws by the full membership. Additional standing committees shall be established by a vote or the Members annually at a regularly scheduled meeting. The standing committees established for the Association shall be 1) By-Laws Committee, 2) Assessment Committee, 3) Architectural Control Committee, and 4) Social Committee.

Section 8.1 By-Laws Committee: The By-Laws Committee shall be chaired by an Association member appointed by the Leadership Committee. The committee shall revise the by-laws as required. Changes, additions, or deletions must be accepted by seventy-five percent (75%) of the Homeowners Association members voting on those changes in person or by written proxy in order for those changes to become a permanent part of the by-laws. Written notification to each member must be made before changes, additions, or deletions of these by-laws can be presented at the next meeting. Changes, additions, or deletions must be discussed at one regularly scheduled meeting and voted on for acceptance at the following meeting.

Section 8.2 Assessment Committee: The Assessment Committee shall determine the annual operating budget for the Homeowners Association and thereby establish the annual membership dues and assessment. Written notification to each member must be made before the annual budget and dues can be presented at the next meeting. The annual budget and dues must be discussed at one regularly scheduled meeting and voted on for acceptance at the following meeting. The assessment and membership dues will be due and payable March 15th of each year.

Section 8.3 Architectural Control Committee: The Architectural Control Committee shall be empowered to monitor the Covenants and Restrictions established by the Developer. The Architectural Control Committee shall also establish an assessment separate from the Assessment Committee to cover costs of common area maintenance as established by point 14 of the Echo Pointe Plat Covenants and Restrictions.

Section 8.4 Social Committee: The Social Committee shall be responsible for planning and organizing special social events for the subdivision such as an annual picnic.

Article 9. These by-laws will be in effect in full force unless otherwise amended in accordance with Article 8.1 or by the dissolution of this association.

Article 10. These by-laws are intended to enhance the lawful position of the Echo Pointe Homeowners Association. These by-laws shall conform to all Federal, State, and Local laws and ordinances. The association shall not engage in, or support the practice of discrimination due to race, color, creed, religion, sex or ethnic background.

Article 11. These by-laws must be approved by vote according to Article 7 and Article 8, Section 8.1, at a regularly scheduled meeting.
